1. Acceptance & Modifications

We may modify these Terms at any time. Material changes will be announced at least 30 days in advance on this page and via in-app banner or email. Continued use after the effective date of a change constitutes acceptance. If you do not accept, you may stop using Zo2y and delete your account from the privacy dashboard.

2. Eligibility & Accounts

• You must be at least 13 years old to use Zo2y.
• If you are between 13 and 16 (or under 18 in jurisdictions where that is the digital consent age), you may only use Zo2y with the consent of a parent or legal guardian.
• You must provide accurate, current, and complete information when creating an account and keep it updated.
• You are responsible for safeguarding your account credentials and for all activity on your account.
• Use a strong, unique password. Enable any available security features.
• Notify us immediately at security@zo2y.com if you suspect unauthorized access to your account.

3. Acceptable Use

You agree not to:

• Violate any applicable law, regulation, or third-party right.
• Post or transmit content that is unlawful, infringing, defamatory, obscene, harassing, hateful, or that encourages violence.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Send unsolicited communications, promotions, advertisements, or spam.
• Upload malware, viruses, ransomware, or any code designed to interrupt, destroy, or limit the functionality of any software or hardware.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of Zo2y or the networks or systems used to provide Zo2y.
• Probe, scan, or test the vulnerability of Zo2y or any system or network associated with it, or breach any security or authentication measures.
• Scrape, crawl, or use automated means (bots, scrapers, headless browsers) to access Zo2y or extract data, except for our published APIs and as allowed by robots.txt.
• Circumvent, disable, or otherwise interfere with security-related features of Zo2y.
• Use Zo2y in any way that could disable, overburden, damage, or impair the service or interfere with any other party's use of the service.
• Encourage or enable any other person to do any of the above.

We may investigate violations and take appropriate action, which may include removing content, suspending or terminating accounts, and reporting to law enforcement.

4. Your Content & License

"Content" means anything you create, upload, post, or store on Zo2y +�G�Gǥ including list titles and descriptions, reviews, ratings, planner notes, profile fields, avatars, and any images you upload.

• You retain ownership of your Content. We claim no ownership over it.
• You grant Zo2y a limited, worldwide, non-exclusive, royalty-free, fully paid-up license to host, copy, transmit, display, and process your Content solely to operate, develop, and improve Zo2y.
• This license ends (except for archival and legal retention obligations) when you delete the Content or your account.
• You represent and warrant that you own or have the necessary rights to your Content, and that your Content does not violate any law or third-party right.
• You are solely responsible for your Content. We do not pre-screen Content, but we may remove or restrict access to Content that violates these Terms or is otherwise objectionable.
• If you make Content publicly visible (e.g., a public list or public review), other users may view, share, and interact with that Content consistent with the list's visibility settings.

5. Third-Party Content & Links

Zo2y displays reference data, descriptions, and images sourced from third parties including TheSportsDB, TMDB, Open Library, Wikimedia Commons, REST Countries, and others. We do not own or endorse this third-party content.

Zo2y may also contain links to third-party websites we do not own or control (e.g., Wikipedia, YouTube, Google Maps, official team sites). We are not responsible for the content, policies, or practices of any third-party site. Your use of third-party sites is at your own risk, subject to their terms.

Reference data is provided "as is" for informational purposes only. We do not guarantee the accuracy, completeness, or timeliness of any third-party data.

6. Intellectual Property

• Zo2y, including its name, logo, design, code, graphics, and copy (excluding your Content and third-party data), is owned by Zo2y and protected by copyright, trademark, and other laws.
• You may not copy, modify, distribute, sell, or create derivative works of Zo2y except as expressly permitted by these Terms.
• You may not use the Zo2y name, logo, or branding without our prior written consent.
• We may use feedback you send us without restriction or compensation.

7. Copyright (DMCA)

We respect copyright. If you believe content on Zo2y infringes your copyright, see our DMCA / Copyright Policy for how to file a takedown notice, our designated agent, the counter-notice process, repeat-infringer policy, and the international equivalents under EU DSM Directive Art. 17, UK Online Safety Act, and similar regimes.

8. No Professional Advice

Zo2y is a personal media-tracking app. Content provided through Zo2y +�G�Gǥ including reviews, travel guides, restaurant recommendations, country info, and the like +�G�Gǥ is for informational and entertainment purposes only. It is not:

• Legal, financial, medical, or mental-health advice.
• Travel advice that takes into account your personal circumstances, health, or local conditions.
• A guarantee of availability, safety, or quality of any product, service, or destination.

Always use independent judgment and consult qualified professionals before making decisions based on information from Zo2y.

9. Purchases, Subscriptions & Refunds

Zo2y is currently free to use. If we ever introduce paid features, subscriptions, or one-time purchases:

• You will be told the price, billing frequency, and renewal terms before you are charged.
• You authorize us (or our payment processor) to charge your chosen payment method.
• You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period.
• Except where required by law (e.g., EU 14-day cooling-off period), fees are non-refundable. We may issue refunds at our discretion for service outages, accidental charges, or goodwill.
• Taxes may apply based on your location.

10. Suspension & Termination

• You may terminate your account at any time from the privacy dashboard.
• We may suspend or terminate your access to Zo2y at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk for us or other users, or if required by law.
• If we terminate your account for cause, you are not entitled to a refund of any fees paid.
• Upon termination, the license to your Content ends. We may delete your account data subject to our retention policy and legal obligations.
• Sections that by their nature should survive termination (including but not limited to +�-�11, +�-�12, +�-�13, +�-�14, +�-�15) survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZO2Y IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
• WARRANTIES AS TO THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT OR DATA AVAILABLE THROUGH THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH JURISDICTIONS, THE EXCLUSIONS ABOVE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT WILL ZO2Y, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) ZO2Y; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON ZO2Y; (C) ANY CONTENT OBTAINED FROM ZO2Y; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
• IN ANY EVENT, ZO2Y'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED US DOLLARS (US$100).
• THE LIMITATIONS OF THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as death, personal injury, fraud, or gross negligence).

13. Indemnification

You agree to defend, indemnify, and hold harmless Zo2y and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your access to or use of Zo2y.
• Your violation of these Terms.
• Your violation of any third-party right, including intellectual property or privacy rights.
• Any claim that your Content caused damage to a third party.

14. Disputes, Arbitration & Class-Action Waiver

Please contact us first at legal@zo2y.com so we can try to resolve any dispute informally. Most disputes can be resolved this way.

If a dispute is not resolved within 30 days of submission, you and Zo2y agree that any claim arising out of or relating to these Terms or Zo2y shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that:

• Either party may bring a claim in small-claims court if it qualifies.
• Either party may seek injunctive or other equitable relief in court to protect intellectual property rights.
• You and Zo2y each waive the right to a jury trial and to participate in any class, collective, consolidated, or representative action.
• The arbitration shall be conducted by a single arbitrator, in English, by video or telephone (or in person in the location agreed by the parties).
• The arbitrator may award the same damages and relief that a court could, but only in favor of the individual party.

30-day right to opt out: you may opt out of arbitration by emailing legal@zo2y.com within 30 days of first accepting these Terms, with your name, account email, and a clear statement that you opt out. If you opt out, neither you nor Zo2y is required to arbitrate any dispute.

EU/UK residents may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Nothing in this section removes any mandatory protection you have under the laws of your country of residence (e.g., consumer rights in the EEA/UK).

16. Miscellaneous

• Entire agreement. These Terms, the Privacy Policy, and the Cookie Policy form the entire agreement between you and Zo2y regarding the service.
• No waiver. Failure to enforce any right or provision does not waive that right or provision.
• Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• No agency. These Terms do not create any agency, partnership, joint venture, or employment relationship.
• Headings. Section headings are for convenience only and have no legal effect.
• Notices. We may send you notices via email, in-app banner, or by posting on this page.
